Terms and Conditions

1. Eligibility

To buy from this website you must be 21 years of age or older, be legally able to enter a contract, and be a qualified researcher or be purchasing for a laboratory or institution that is qualified to receive and hold research chemicals.

You must give accurate contact, shipping, and billing details, and keep them current. We may refuse or cancel any order, and we may limit the quantity of any item, at our discretion.

2. What we sell

BioSpring Peptides is a chemical supplier. We are not a pharmacy, a compounding facility, or a healthcare provider, and we do not prepare, dispense, or sell material for administration to humans or animals.

We sell research materials, typically supplied as lyophilized powder for reconstitution, and third-party tested. Certificates of Analysis are published on this site as they arrive from the lab.

Listings, specification sheets, and images describe the material as supplied. They are not, and must not be read as, a representation about any use other than laboratory research. The Research Use Only Disclaimer governs that question and forms part of these terms.

We aim to keep every listing accurate, but we do not warrant that a listing, a price, or a stock figure is free of error. Where an error is found we may correct it, including after an order has been placed.

3. Prices and taxes

Prices are shown in United States dollars and can change at any time before you place an order. The price that applies to your order is the price held in our records at the moment the order is placed, which is the price shown to you in the order summary at checkout.

Sales tax is added where we are required to collect it, and is calculated at checkout on the delivery address you give. Shipping is charged at the rate shown at checkout before you pay.

4. Orders and acceptance

Your order is an offer to buy. We accept it when we dispatch the goods, and it is at that point that a contract is formed between us. An order confirmation email is an acknowledgement that we have received your order, not acceptance of it.

We may decline an order in full or in part. Reasons include a stock shortage, a pricing or listing error, a failed payment or address check, a limit on quantity, or a reasonable belief that these terms or the Research Use Only Disclaimer would be broken.

If we decline an order after you have paid, we refund the amount charged for the part we decline.

5. Payment

Card details are captured by our payment provider inside fields the provider controls. Card numbers never reach our servers, our logs, or our database. We hold only the outcome of the charge and the last digits the provider returns to us.

By placing an order you confirm that you are entitled to use the card or account presented, and you authorize us to charge the total shown in the order summary.

If a charge is declined, no contract is formed for the declined order, and your cart is left intact so you can correct the problem and try again.

6. Stock and availability

Stock is held for a short period while you complete checkout so that two buyers cannot take the same last unit. A hold expires if checkout is not completed, and the stock returns to general availability.

If an item turns out to be unavailable after your order is accepted, we will tell you and refund that line in full.

7. Delivery

Delivery is governed by the Shipping Policy, which forms part of these terms. Risk in the goods passes to you on delivery to the address you gave.

Dispatch and delivery estimates are estimates. They are not a term of the contract and we do not guarantee a delivery date.

8. Returns and refunds

Returns and refunds are governed by the Refunds and Returns page, which forms part of these terms. Because these are research materials whose storage cannot be verified once they leave our control, what can be returned is limited, and that limit is set out in full on that page.

9. Prohibited uses

You may not do any of the following with material bought from us, and you agree that you will not:

• Use it, or allow it to be used, in or on a person or an animal.
• Resell or transfer it to anyone you believe intends such a use.
• Repackage, relabel, or dilute it and offer it as anything other than a research material.
• Include it in a food, a drink, a cosmetic, or anything else intended for a person or an animal.
• Present it to anyone as approved, tested, or suitable for a use this website forbids.

A breach of this section is a material breach. We may cancel outstanding orders, close your account, and refuse future orders.

10. Assumption of risk

Research chemicals carry risk. You confirm that you are qualified to judge that risk, that you accept it in full, and that you are responsible for the safe handling, storage, labeling, and disposal of everything we send you from the moment it is delivered.

11. Warranties and disclaimers

We warrant that a material supplied matches the identity and purity stated on the Certificate of Analysis issued for its batch, where a certificate has been issued, and that it is supplied in the form and quantity stated in the listing.

Apart from that warranty, and to the fullest extent the law allows, goods are supplied as is, and we disclaim every other warranty, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent the law allows, our total liability arising out of or connected with an order is limited to the amount you paid for that order.

We are not liable for indirect, incidental, special, or consequential loss, for loss of profit, revenue, data, or research work, or for any loss arising from a use of a material that these terms or the Research Use Only Disclaimer forbid.

Nothing in these terms limits liability that cannot lawfully be limited.

13. Indemnity

You agree to indemnify BioSpring Peptides and its officers, staff, and suppliers against any claim, loss, liability, or cost, including reasonable legal fees, arising out of your breach of these terms or the Research Use Only Disclaimer, or out of any use of a material you bought from us.

14. Governing law and disputes

These terms are governed by the laws of the United States and of the state in which BioSpring Peptides maintains its principal place of business, without regard to conflict of law principles.

Any dispute that cannot be settled between us will be brought in the state or federal courts sitting in that state, and both parties consent to that venue. Before filing, please contact us so that we can try to resolve the matter directly.

15. Changes to these terms

We may revise these terms. The version in force for your order is the version published on this page at the moment your order was placed, and the date it was last updated is shown at the top of this page.
